Alpha.jobs, on behalf of its client and in cooperation with a licensed employment agency with license number 547, is looking for Corporate Lawyer – Cross-Border / IT.

Main duties:
- Review M&A, shareholder, subscription, service and related-party agreements involving technology investments in several jurisdictions.
- Draft and revise intercompany loans, cost-sharing and service agreements and support legal due diligence.
- Track corporate actions, governance decisions, capital calls and distributions and prepare clear risk summaries for management.
- Coordinate external counsel in the United States and other jurisdictions and critically assess the advice and documents received.
- Work with tax and finance advisers on group structuring, transfer-pricing documentation and entity maintenance.
Requirements:
- Law degree and five to seven years of post-qualification corporate or commercial legal experience.
- Demonstrated cross-border, M&A, investment-group or in-house legal exposure.
- Ability to analyse and draft English-language transactional documents, including US-style corporate agreements.
- Working knowledge of Cyprus Companies Law, intercompany arrangements and corporate governance.
- Excellent English, strong judgement, reliability and ability to manage parallel assignments; technology-sector or Delaware knowledge is advantageous.
